1. About these Terms
These Terms of Service ("Terms") are a legal agreement between you and UPrep Advising operating as UPrep Canada ("UPrep", "we", "us", "our"), located in Ontario, Canada. You can reach us at hello@uprepcanada.ca or through the Contact page at uprepcanada.ca/contact.
"You" means each person who books or uses a UPrep Service, and includes:
- the Parent/Guardian who books and pays for a Service on behalf of a student; and
- the Student who receives the Service.
By booking, paying for or using any UPrep Service, or by using uprepcanada.ca (the "Website"), you confirm you have read and agree to these Terms and our Privacy Policy. If you do not agree, please do not book or use our Services.
2. Our Services
UPrep is a near-peer university application guidance company for students preparing for post-secondary study in Canada. Our services ("Services") may include:
- Discovery Call, a free 15-minute introductory call;
- UPrep Guidance and University Planning sessions;
- Application Review (feedback on one essay or supplemental response of up to 650 words per submission);
- Resume Build or Review;
- Mock Interviews;
- Group workshops;
- Packages that bundle the above; and
- the UPrep Hub and other digital resources, when available.
The current description, duration, format and price of each Service is shown on the Website at the time you book. Services marked "Coming soon" are not available for purchase, and we may change, pause or withdraw a Service before you buy it.
What UPrep is not. UPrep is not a school, tutoring service, or regulated education provider, and does not provide subject-specific instruction (such as math or science tutoring), legal, immigration, mental health, medical, or financial advice. UPrep is not a licensed or regulated immigration, education or career consultant. Our mentors share their experience and opinions in good faith; they are not guidance counsellors employed by your school and are not a substitute for your school's counsellors or for official university requirements.
3. No Guaranteed Outcomes
Admissions, scholarship and interview decisions are made solely by universities and other third parties, based on factors we do not control. UPrep does not guarantee admission, scholarships, awards, interview success, grades, or any specific outcome. Examples or past experiences we share are illustrations only and do not predict results. Nothing said by any UPrep team member, Ambassador or representative, in writing or verbally, is a guarantee.
Application requirements, deadlines, fees and processes (including those set by OUAC, individual universities, or scholarship providers) change often. You are responsible for confirming requirements and meeting deadlines directly with the institution.
4. Student Authorship and Academic Integrity
The Student remains the sole author of everything they submit to any university, scholarship body or employer.
- UPrep provides feedback, brainstorming, structure and editing suggestions only.
- UPrep does not write, ghostwrite or submit application material, essays, or responses on a Student's behalf, and does not complete forms or portals for a Student.
- You agree not to ask us to do so, and not to submit work as your own that was written by someone else or generated entirely by software, where the institution prohibits it.
- You are solely responsible for the accuracy and honesty of everything you submit. If an institution has rules on the use of outside help or AI tools, you are responsible for following them.
We may decline or end a session that asks us to cross these lines, without a refund (see Section 8).
5. Booking, Eligibility and Parent/Guardian Responsibility
5.1 How a booking works. You choose a Service, choose a time, and, for paid Services, pay online. A booking is confirmed only when you receive a confirmation email from us. Before you pay, you will be shown the Service, price, and an opportunity to review and correct your order and to accept or decline these Terms. If you do not receive a confirmation email within a few minutes, check your spam folder and then contact us.
5.2 Accuracy. You agree to give accurate and current information (names, email, time zone, grade and any documents you share).
5.3 Students under 18. Many of our Students are under 18. For any Student who is a minor:
- a Parent/Guardian must book and pay for the Service, and agrees to these Terms on the Student's behalf and on their own behalf;
- the Parent/Guardian confirms they have legal authority to consent for the Student, and confirms the Student understands what the Services involve;
- the Parent/Guardian is responsible for the Student's conduct during Services and for supervising the Student's use of devices and the internet;
- administrative messages (confirmations, receipts, reminders) go to the Parent/Guardian; session content and feedback go to the Student. A Parent/Guardian is welcome to attend any session; and
- we may ask for confirmation of Parent/Guardian consent at any time and may pause a Service until we receive it.
5.4 Age of Students. Services are intended for students aged 13 or higher and in grade 10, 11 or 12. For students in grade 9 or under the age of 13 the parent or guardian of the student is required to be present during the session.
5.5 Safety of minors. All sessions take place on a video platform we choose (currently Google Meet or similar) and are held only at booked times. We do not ask Students to contact us privately on social media or messaging apps, and Students and Parents/Guardians should report anything that makes them uncomfortable to officeuprepcanada@gmail.com right away. We reserve the right to end any session that is unsafe or inappropriate.
6. Prices, Taxes and Payment
- All prices are in Canadian dollars (CAD) and are the prices shown at the time of booking.
- Payment is due in full at the time of booking.
- Payments are processed by a third-party payment provider Stripe or Interac e-Transfer. UPrep does not see or store your full card number.
- You will receive an email confirmation and receipt after payment.
- If a payment is declined, reversed or charged back, we may cancel the related booking and Services.
- We may change prices at any time. A change never affects a Service you have already paid for.
- If you believe you were charged in error, contact us within 30 days of the charge and we will review it promptly.
7. Packages and Workshop Passes
- A Package or Workshop Pass is a pre-paid bundle of the listed Services at the bundle price shown, and each item inside is delivered individually.
- Package items must be used within [12 months] of the purchase date (the "Validity Period"). Unused items expire and are forfeited at the end of the Validity Period, with no refund or credit.
- Packages are for the named Student only and may not be transferred, shared, resold or exchanged for cash.
- Package pricing is a bundled price, and the package fee is non-refundable in whole or in part, whether or not any session has been used (see Section 8).
- "Priority scheduling" and similar included features mean earlier access to available times, and do not guarantee a specific time.
Key policy
8. No Refunds; Rescheduling
8.1 All sales are final. All Services and Packages are non-refundable. Once a booking is paid for, the fee is not refundable, including where a session or package is unused, missed, cancelled late, or no longer wanted, or where the Student is unhappy with the outcome of their application.
8.2 Free rescheduling up to 24 hours before. You may reschedule any paid session at no extra charge if you do so at least 24 hours before its scheduled start time, using the link in your confirmation email or by emailing officeuprepcanada@gmail.com. Rescheduling is for a new time for the same Service. It is not a refund, credit or cancellation.
8.3 Less than 24 hours' notice and no-shows. If you reschedule or cancel less than 24 hours before a session, miss it, or arrive more than [15] minutes late, the session is treated as delivered and the fee is forfeited. We may, at our sole discretion and as a courtesy only, offer a one-time exception for emergencies. Doing so once does not create a right to it again.
8.4 Cancellation by UPrep. If we need to cancel or reschedule, we will give you as much notice as we can and offer a new time. If we cannot provide the Service within a reasonable time after our cancellation, we will refund the fee for that unused Service.
8.5 Workshops. Workshop dates are announced in advance. We may reschedule or cancel a workshop (for example, for low enrolment). If so, we will move you to another date or, if we cannot offer one, refund that workshop's fee. Workshop seats are non-refundable if you simply cannot attend, but may be moved to another workshop with 24 hours' notice.
8.6 Application Review. An Application Review covers one submission of up to the stated word limit. Longer or additional submissions require another booking. Turnaround times are estimates unless we state otherwise in writing.
8.7 Your legal rights are not affected. Nothing in these Terms removes or limits rights that you have under applicable law that cannot be waived by contract, including rights under Ontario's Consumer Protection Act, 2002 (and any law that replaces it). If a law gives you a right to cancel or to a refund in a particular situation, we will honour it. In every other case, Section 8.1 applies.
9. Session Conduct, Recording and Materials
- Respectful conduct. Please be respectful. We may end a session without refund for harassment, discrimination, threats, or any behaviour that makes others unsafe or uncomfortable.
- No recording. You may not record (audio, video or screen), transcribe with automated tools, livestream or publish any session or workshop without our prior written consent. We do not record sessions unless we tell you in advance and you agree.
- Materials are for you. Guides, templates, workshop materials, feedback, and other UPrep content are for your personal, non-commercial use. You may not copy, redistribute, resell, post, or use them to train AI systems or build competing products.
- Your content. You keep ownership of the essays, resumes and documents you share. You give us a limited licence to use them only to deliver the Services to you (including reading, annotating and storing them for that purpose). We will not publish your work without written consent (see Section 11).
- Don't share what you shouldn't. Please do not share other people's personal information, or government ID, banking or health information, in documents or sessions.
10. Privacy
Our Privacy Policy explains what personal information we collect, how we use and protect it, who we share it with, how long we keep it, and how to access, correct or delete it. It forms part of these Terms. We handle personal information in line with Canada's Personal Information Protection and Electronic Documents Act (PIPEDA) and, where applicable, Ontario law. Because many Students are minors, we collect only what we need, and Parents/Guardians may contact us at any time to ask about, correct or delete a Student's information.
11. Testimonials and Use of Names
We will never publish a Student's testimonial, name, photo, results, essay, or other identifying details without prior written consent from the Parent/Guardian (and from the Student where appropriate). Consent can be withdrawn at any time for future use by emailing officeuprepcanada@gmail.com.
12. Communications
By booking a Service you agree that we may email you (and, if provided, text you) about your booking: confirmations, reminders, receipts, session follow-ups and Service changes. These are transactional messages. We will send marketing or newsletter emails only if you opt in, and every such email will include a working unsubscribe link, in line with Canada's Anti-Spam Legislation (CASL). Please keep your contact details current.
13. Third-Party Services and Links
We use third-party tools to run UPrep (for example scheduling, video calls, payments, email and document storage). They have their own terms and privacy policies, and we are not responsible for how they operate, although we choose providers with care. The Website may link to external sites we do not control. Using them is at your own risk.
14. UPrep Hub and Accounts (when available)
When the UPrep Hub or user accounts are launched: you must provide accurate information and keep your login secure; you are responsible for activity on your account; accounts are for the registered Student; and we may suspend accounts that breach these Terms. Hub content is licensed, not sold, and remains UPrep's property. Paid Hub content is non-refundable once access is granted, subject to Section 8.7. Additional terms may be shown at sign-up.
15. Referral Codes and Ambassadors
Referral codes and discounts, where offered, have no cash value, cannot be combined unless stated, and may be withdrawn if misused. UPrep Ambassadors are not employees or agents of UPrep with authority to make promises or change these Terms. Only what is written in these Terms and on the Website binds UPrep. Ambassadors participate under separate written terms.
16. Disclaimers
To the maximum extent permitted by law, the Services and the Website are provided "as is" and "as available." UPrep gives its guidance in good faith, but does not promise that advice, examples, templates or information are error-free, complete or current, or suited to a particular admissions outcome. We are not responsible for decisions or actions taken in reliance on our guidance. Outages, technical problems and third-party platform failures may occasionally affect scheduling or delivery. We will work to fix them quickly and to reschedule affected sessions.
17. Limitation of Liability
To the maximum extent permitted by law:
- UPrep, its owners, team members and volunteers will not be liable for any indirect, incidental, special, consequential or punitive losses, or for lost opportunities, lost admissions, scholarships or offers, or loss of data, arising from the Services or Website; and
- UPrep's total liability for any claim relating to a Service is limited to the amount you actually paid for that specific Service.
Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including liability for fraud, gross negligence, wilful misconduct, or death or personal injury caused by negligence, or rights under consumer protection laws.
18. Termination and Suspension
We may refuse, suspend or end a Service or account, with or without notice, if you materially breach these Terms, act abusively or unsafely, provide false information, try to have us do work that breaches Section 4, or misuse our materials. If we end a Service for your breach, fees are not refunded. If we end it for any other reason, Section 8.4 applies. You may stop using UPrep at any time, but this does not entitle you to a refund.
19. Changes to These Terms
We may update these Terms. The version on the Website, with its "last updated" date, applies from that date. We will notify existing clients by email of material changes. Changes will not reduce your rights for a Service you have already paid for. Continuing to book or use the Services after an update means you accept the updated Terms. If you do not accept them, stop booking.
20. Governing Law and Disputes
- These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada that apply there, without regard to conflict-of-law rules.
- Please contact us first. We will try in good faith to resolve any concern informally within 30 days of hearing from you at officeuprepcanada@gmail.com.
- If that does not resolve it, disputes may be brought in the courts of Ontario, which have jurisdiction, and you also keep any right you have under law to go to the appropriate consumer protection regulator or small claims court.
21. General
- Entire agreement. These Terms, our Privacy Policy and the booking confirmation make up the entire agreement between us for the Service.
- If part is unenforceable, the rest still applies.
- No waiver. If we don't enforce a term right away, that doesn't mean we've given it up.
- Assignment. You may not assign these Terms or your bookings to someone else. We may assign them to a successor to our business.
- Language. These Terms are written in English. [Optional: A French version is available on request.]
- Accessibility. If you need an accommodation to use our Services or Website, tell us and we will work with you in good faith.
- Force majeure. Neither party is responsible for failure or delay caused by events beyond reasonable control (for example, illness, outages, severe weather, or emergency orders). We will reschedule affected sessions.
